Terms of Service

These Terms of Service ("Terms") govern your access to and use of NexaPrompt (the "Service"), operated by KevinT LLC ("we", "us"). By using the Service you agree to these Terms.
1. Eligibility & Accounts
You must be at least 13 years old and able to form a binding contract. You are responsible for the activity on your account and for keeping your credentials secure.
2. The Service
NexaPrompt transforms user-supplied rough prompts into structured prompts using third-party AI models. Output is provided "as is" and may contain inaccuracies. You are responsible for reviewing output before use.
3. Subscriptions & Billing
Paid plans (e.g. Pro at $9/month) are billed in advance through Stripe and renew automatically until canceled. You may cancel anytime; cancellation takes effect at the end of the current billing period. Fees are exclusive of taxes where applicable.
4. Free Tier & Fair Use
Free usage is subject to rate limits and feature restrictions. We may modify limits to maintain Service quality.
5. Acceptable Use
- No illegal, infringing, harmful, or abusive content.
- No attempts to reverse engineer, scrape, or overload the Service.
- No generation of content that violates the policies of our AI providers (e.g. CSAM, targeted harassment, malware, etc.).
- No resale of API access or bulk redistribution of outputs without permission.
6. Your Content
You retain ownership of prompts you submit and outputs you generate. You grant us a limited license to process your inputs solely to operate and improve the Service. You represent that you have the rights to any content you submit.
7. Intellectual Property
NexaPrompt, its branding, code, and underlying technology are owned by us and protected by intellectual-property laws. No rights are granted except as expressly set forth here.
8. Third-Party Services
The Service relies on third-party providers (Stripe, AI gateways, hosting). Your use of those services may be subject to their own terms.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to indemnify and hold harmless NexaPrompt and KevinT LLC from claims arising out of your use of the Service or violation of these Terms.
12. Termination
We may suspend or terminate your access for any breach of these Terms. You may stop using the Service at any time.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Exclusive jurisdiction lies with the state and federal courts located in Delaware.
14. Changes
We may update these Terms. Continued use after changes become effective constitutes acceptance.
